TERMS AND CONDITIONS — MEDEVO SUPPLY



  1. The following terms and conditions govern and are incorporated into each purchase order, invoice, and transaction between Customer and Medevo Supply (“Company”). These terms shall control over any conflicting or inconsistent terms contained in any Customer purchase order or other document.
  2. Payment Terms
  3. Customer agrees to reimburse Medevo Supply for all reasonable costs of collection, including reasonable attorney’s fees, in the event of default, to the extent permitted by applicable law.
  4. For purchases made by credit card, a 3% surcharge will be added to the total invoice amount. This surcharge is not greater than our cost of acceptance.
  5. Customer agrees to resolve any billing disputes directly with Medevo Supply prior to initiating any chargeback or dispute with its card issuer or bank. Customer shall notify Medevo Supply in writing within 10 days of the invoice date of any disputed charges.
  6. Credit Hold
  7. Medevo Supply reserves the right to place any Customer account on credit hold in the event of non-payment, late payment, or any outstanding past-due balance. While an account is on credit hold, Medevo Supply may, at its sole discretion, suspend or refuse to process new orders until all outstanding balances are paid in full. Medevo Supply shall not be liable for any delays, losses, or damages arising from the suspension of orders due to a credit hold.
  8. Governing Law & Jurisdiction
  9. These terms shall be governed by and construed in accordance with the laws of the State of New Jersey without regard to its conflict of law provisions. Customer consents to the exclusive jurisdiction and venue of the courts located in Ocean County, New Jersey and waives any objection to such jurisdiction or venue. Customer further waives the right to personal service of any summons or complaint and agrees that service by certified mail shall constitute sufficient service of process.
  10. Freight Policy
  11. Customer is responsible for all freight charges. Title and risk of loss transfer to Customer upon tender of goods to the carrier (FOB Shipping Point). All deliveries are subject to the common carrier’s standard timeframes for pickup and delivery. Medevo Supply is not responsible for carrier delays.
  12. Specialized Handling
  13. Inside delivery can be arranged for an additional fee. Unless otherwise arranged in writing, all deliveries are curbside drop-off only.
  14. Inspection of Received Merchandise
  15. Customer is responsible for inspecting all received merchandise within 24 hours of delivery. Any damages, shortages, discrepancies, or defects must be reported to Medevo Supply in writing within that 24-hour window. Failure to notify Medevo Supply within this timeframe shall constitute acceptance of the goods as received, and Medevo Supply shall have no obligation to accept claims for damage or shortage reported thereafter.
  16. Order Expediting
  17. Expedited order processing is available upon request and is subject to availability. Orders requiring truck freight cannot be guaranteed next-day delivery. Same-day service may be available for select items depending on Customer location, product availability, and carrier capacity, and is subject to confirmation at the time of order.
  18. Return Policy
  19. All returns are subject to the applicable manufacturer’s or supplier’s return terms and conditions. Customers must obtain a Return Merchandise Authorization (RMA) number from Medevo Supply prior to returning any product. Unauthorized returns will not be accepted. Restocking fees may apply. Medevo Supply is not responsible for returns declined by the manufacturer or supplier.
  20. Disclaimer of Warranties
  21. MEDEVO SUPPLY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO ANY PRODUCTS OR SERVICES PROVIDED HEREUNDER. ALL PRODUCTS ARE SOLD “AS IS” AND “AS AVAILABLE.” MEDEVO SUPPLY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ANY WARRANTY APPLICABLE TO A PRODUCT SHALL BE SOLELY THAT OF THE MANUFACTURER OR SUPPLIER, AND MEDEVO SUPPLY SHALL HAVE NO LIABILITY WITH RESPECT THERETO.
  22. Limitation of Liability
  23. In no event shall Medevo Supply be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to any transaction. Medevo Supply’s total liability shall not exceed the amount paid by Customer for the specific goods giving rise to the claim.
